UniLEARN WEBSITE TERMS OF USE
The website unilearn.edu.sg (the “Site”) is owned and operated by Singapore University of Social Sciences (the “University”). The Site offers, from time to time, information and online courses on various topics (the “Courses”) in support of its mission to educate and disseminate knowledge and information.

Acceptance of Terms |

Use of the Site and the video material, audio material, text, images, graphics and other content available on the Site (collectively, the “Content”) is subject to these Terms of Use together with the Privacy Policy and all applicable laws. By using the Site, or by clicking the “I Agree” checkbox, or by clicking a box that states you agree to these Terms of Use during the registration process, you accept and agree to be legally bound by these Terms of Use, whether or not you are a registered member of the Site. If any of these Terms of Use is unacceptable to you, do not use the Site or any of the Content. |

These Terms of Use may be revised or updated from time to time. The revised or updated Terms of Use will be posted on the Site and your continued use of the Site or any of the Content shall be deemed and construed as your conclusive and binding acceptance of the revision or updated terms. |

Registration Obligations |

To access some of the functionality of and/or information contained on the Site (including the Courses), you will need to register a personal account on the Site (“Account”). |

To become a registered user and create an Account, you agree to provide accurate and complete information about yourself as prompted by the Site’s registration form (the “Registration Data”). You further agree to maintain and promptly update the Registration Data to keep it accurate and complete. You are solely responsible for the activity that occurs on your Account and you must keep your Account password secure. You agree to notify the University immediately of any unauthorised use of your Account or other breach of security. |

2.3 |
At registration, you will also be required to select a public username which will be your personal identifier displayed on the Site if you, for example, post a comment to a forum or upload content. You acknowledge and agree that, by selecting a public username, you are allowing everyone on the Site (and possibly people off the Site) to view that public username and (subject to any privacy controls as may be offered on the Site and that you may select from time to time) the comments and content that you post on the Site using that public username. The University reserves the right to refuse or remove any public username for any reason (including, if it considers the public username to be inappropriate, if it receives a complaint about the public username or if the public username is already in use). |

2.4 |
You must not create an Account for anyone other than yourself. You are only permitted to have one Account and agree not to create multiple Accounts. You must not misrepresent (or attempt to misrepresent) your identity while using the Site. |

You must not access or attempt to access the Account of any other user of the Site. |
||||||||||
2.6 |
The University may terminate your Account if you violate any provision of these Terms of Use or fail to comply with our requests concerning your Account. |

3. |
The Courses |

3.1 |
Some Courses may specify certain eligibility requirements (including minimum age requirements). You agree that you will not participate (or continue to participate) in a Course unless you satisfy the eligibility requirements for that Course. By participating in a Course, you represent and warrant to the University that you satisfy (and at all time will continue to satisfy) the eligibility requirements for that Course. |

3.2 |
You acknowledge and agree that nothing in these Terms of Use or the offering of the Courses to you on the Site (or your participation in those Courses):

3.3 |
You acknowledge that, by offering the Courses, the University has not and does not make any representation or warranty that completion of a Course will qualify you for any award or qualification other than as specified in Clause 3.4. |

3.4 |
Subject to your satisfactory completion of a Course as determined by the University and/or Course Provider in its sole discretion, you may be awarded a statement acknowledging your completion of the Course (the “Certificate”). You acknowledge and agree that a Certificate does not convey any academic credit or entitle you to any recognition of prior learning. A Certificate is not equivalent to any award or qualification that might be awarded by the University or the relevant Course Provider. The content of a Certificate will be determined by the University and/or the Course Provider, in its sole discretion, and may change from time to time and from Course to Course. |

3.5 |
The University or a Course Provider may charge for certain Courses that are offered on the Site (a “Chargeable Course”). If you wish to purchase a Chargeable Course, you may be asked to supply certain information relevant to your purchase, including your credit card, billing address and shipping information. Your personal or payment details will not be shared with any third party – please refer to the University’s Privacy Policy for further information. You represent and warrant that:

The University and/or the Course Provider reserves the right to cancel, suspend, reschedule or modify the content of any Course at any time (including during the Course) in its sole discretion. You expressly agree that the University and/or the Course Provider cannot accept any liability for loss or damage arising as a result. |

4. |
Restrictions on Use of Site |

4.1 |
You are expected to comply with all requirements set out in this Clause 4 for the duration of your use of the Site. The University and/or Course Provider may terminate your registration if it deems that you have not complied with these requirements. |

4.2 |
You agree to access and use the Site in accordance with all applicable laws. |

4.3 |
You agree that you must not use the Site in a manner that:

You must not use the Site or the Courses or any material that the University and/or Course Provider may provide to you in connection with a Course for commercial purposes, financial or other gain. |

4.5 |
You must comply with any lawful instruction given by the University and/or Course Provider to you in the course of your use of the Site. |

4.6 |
You must not collect the content of other users of the Site or access the Site using automated means. |

4.7 |
You must not impersonate any person (including a staff member of the University or a Course Provider) or hold yourself out as having authority to act on behalf of the University or a Course Provider. |

5. |
Intellectual Property Rights |

5.1 |
All Content and other materials available on the Site are owned by or licensed to the University and are protected by copyright laws. You agree to abide by the all the copyright notices and other restrictions contained in the Site and the Content accessed through the Site. The University grants you a non-exclusive, non-transferable licence to access and use the Site and Content for personal, educational and non-commercial use as permitted by these Terms of Use. In addition, you may download any Course videos for which a downloading option is offered on the Site and you may display or distribute those Course videos to students online for free as part of your own teaching activities at a non-profit educational institution. You agree to retain all copyright and other notices on any Content that you obtain from the Site. Except as specifically permitted in the preceding sentence, you may not retransmit, publish, distribute, display, communicate or otherwise make available any of the Courses or other Content to others. In no event may you alter, adapt, translate or modify the Courses or any other Content, including, without limitation, by adding any advertisement or other material or by interfering with the viewing of any Content. None of the foregoing restrictions will apply to your own Submissions (as defined in Clause 7 below). |

You agree not to reproduce, display or otherwise provide access to the Site and/or the Content (including the Courses) on another website or server, whether through framing, mirroring, linking, spidering, scraping or any other technological means (including any technology available in the future), without the prior written permission of the University. |

You may not use any of the University’s name, logo or trademarks or the name, logo or trademarks of any Course Provider without the prior written consent of the University. |

5.4 |
If you wish to make any use of the Content that requires authorization under copyright, trademark or other rights, you agree to obtain all necessary permissions. You are responsible for determining whether permission is needed for you to be able to make use of the Content in question. |

Reserved Rights |

All rights in the Site and the Content (including the Courses) that are not expressly granted are reserved. You agree to use the Site and the Content only in ways that comply with copyright and all other applicable laws, as well as with these Terms of Use, and that do not infringe or violate anyone’s rights. |

Submissions to the Site |

The University may permit users of the Site to submit any contribution, including but not limited to any text, graphics, video and/or audio content (the “Submissions”) to the University for posting on the Site or to the Site directly, subject to the University’s specific requirements and procedures prevailing at the relevant time. You are solely responsible for your own Submissions and for the consequences of posting or submitting it. The University only acts as a passive conduit for the online distribution and publication of your Submissions and you agree that the University will have no responsibility or liability in connection with your use of any Submissions. |

Whilst the University has no obligation to monitor or take action with respect to user Submissions, the University reserves the right to remove or delete any material that the University, in its sole discretion, finds to be in violation of these Terms of Use or otherwise objectionable or inappropriate without having to assign any reason. In addition, the University shall have the right to terminate your use of the Site if it believes that you have violated these Terms of Use or for any other reason whatsoever, without notice to you. |

These linked sites are not under the University’s control and the University is not responsible for the contents of any linked site or any link contained in a linked site, or any changes or updates to such sites. The Site provides outside links only as a convenience, and the inclusion of any link does not imply endorsement by the University. |

All Registration Data and any other information collected on the Site are for the University’s and the relevant Course Provider’s use only. No information about Site visitors or user is released or sold to third parties. |

10. |
Disclaimer of Warranties, Limitation of Liability and Remedies |

The Site is provided by the University on an “as is” basis. To the fullest extent permitted by applicable law, the University and its Course Providers, licensors, content providers (collectively, other than providers of user Submissions, the “Collaborators”) disclaim all warranties of any kind (express, implied or otherwise) as to the Site or the Content, including but not limited to any implied warranties of merchantability, fitness for a particular purpose and non-infringement. The University and its Collaborators make no warranty about the accuracy, reliability, completeness, timeliness, sufficiency or quality of the Site or the Content nor that any particular Content will continue to be made available. The University does not approve or endorse any user Submission or content provided by others. Neither the University nor its Collaborators warrant that the Site will operate without error or interruption, or that the Site or its server is free of computer viruses or other harmful materials. |

Your use of the Site and the Content is at your sole risk. In no event shall the University or its Collaborators be liable to you, in contract, tort or otherwise, for any direct, indirect, special, incidental, consequential, punitive, exemplary or other damages of any kind arising out of or relating to the Site or Content, or your use of the Site or Content, or any third party rights in the Content, or these Terms of Use even if the Site or Content is defective or the University is negligent or otherwise at fault, and regardless whether the University is advised of the possibility of such damages. If, notwithstanding the other provisions of these Terms of Use, the University or its Collaborators are found liable to you (in contract, tort or otherwise) for any damage or loss arising out of or relating to the Site or the Content, or your use of the Site or the Content, or any third party rights in the Content, or these Terms of Use, the University’s liability and the liability of its Collaborators shall in no event exceed Singapore Dollars One Hundred (S$100) in the aggregate, even if the Site or Content is defective or the University is negligent or otherwise at fault. The foregoing limitations shall apply to the fullest extent permitted by applicable law. |

Applicable Law and Jurisdiction |

These Terms of Use, and the interpretation, construction and enforceability of them, and all of your and our rights and obligations relating to this subject matter, whether arising under these Terms of Use or otherwise, shall be governed by and construed in accordance with the laws of Singapore, without giving effect to its principles of conflict of laws. You agree that the sole and exclusive jurisdiction and venue for resolution of any disputes shall be in the courts of Singapore. If you choose to access the Site from locations outside of Singapore, you will be responsible for compliance with all local laws of those other locations. |

Termination, Discontinuation |

The rights granted to you hereunder will terminate automatically upon any breach by you of these Terms of Use but the other provisions of these Terms of Use will survive any such termination. |

The University reserves the right at any time in its sole discretion to cease providing any Content, to change or discontinue any aspect or element of the Site, or to cease making the Site available. |

If any provision of these Terms of Use is held to be invalid or unenforceable, that provision, to the extent unenforceable, shall be struck and shall not affect the validity or enforceability of the remaining provisions. |

Headings are for reference purposes only and in no way define or limit the scope or extent of any provision of these Terms of Use. |

14.3 |
The University’s failure to act with respect to a breach by you or others does not waive its right to act with respect to subsequent or similar breaches. Except as otherwise expressly provided in these Terms of Use, nothing herein shall be deemed to confer any third party rights or benefits. |

These Terms of Use set for the entire understanding and agreement between you and the University with respect to the subject matter hereof. |
